Terms of Service

These Terms of Service ("Terms") govern your access to and use of Writly ("we," "us," or "our"), including writlyapp.com and the Writly practice management application (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.

If you're using the Service on behalf of a law firm or other organization, you represent that you have authority to bind that organization to these Terms.

1. The Service

Writly provides practice management software for solo and small firm attorneys, including time tracking, billing, matter management, and related tools. We may update, change, or discontinue features of the Service at any time, though we'll give reasonable notice of significant changes.

2. Eligibility

You must be at least 18 years old to use the Service. The Service is intended for use by licensed legal professionals and their authorized staff. By using the Service, you represent that you meet these requirements.

3. Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@writlyapp.com if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use of your account.

You may not share your account credentials with others or use the Service in a way that allows multiple users to access it under a single account, unless you have purchased a plan that explicitly permits multiple users.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with your professional obligations, including applicable rules of professional conduct. You agree not to:

  • Use the Service to store or transmit unlawful content
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to transmit spam or unsolicited communications
  • Resell or sublicense access to the Service without our written permission

5. Your Data

You retain ownership of all data you enter into the Service, including matter information, client data, time entries, and documents ("Your Data"). You grant us a limited license to store and process Your Data solely to provide the Service to you.

You can export Your Data at any time from within the Service. Upon account termination, we will retain Your Data for 90 days to allow for export or reactivation, after which it will be deleted. See our Privacy Policy for more detail.

You are solely responsible for ensuring that your use of the Service — including how you store and handle client information — complies with your professional obligations and applicable law.

6. Fees and Payment

Paid plans are billed monthly or annually in advance. All fees are in US dollars. You authorize us to charge your payment method on a recurring basis until you cancel.

If your payment fails, we will notify you and provide a brief grace period to update your payment information. We reserve the right to suspend access to your account if payment is not received after the grace period.

We may change our pricing with at least 30 days' notice. If you disagree with a price change, you may cancel before the new price takes effect.

All fees are non-refundable except as required by law or as expressly stated in these Terms. If you cancel a monthly plan, your access continues through the end of the current billing period.

7. Free Trial

We may offer a free trial period. At the end of the trial, you will need to provide payment information to continue using the Service. We reserve the right to modify or end free trial offers at any time.

8. Intellectual Property

The Service, including its design, software, and content (excluding Your Data), is owned by Writly and protected by intellectual property laws. Nothing in these Terms transfers ownership of the Service or its underlying technology to you.

We welcome feedback and suggestions. If you share ideas with us, you grant us a perpetual, royalty-free right to use them without any obligation to compensate you.

9. Third-Party Services

The Service may integrate with or link to third-party services (such as payment processors or calendar tools). Your use of those services is governed by their own terms and privacy policies. We are not responsible for the practices of third-party services.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

Writly is a practice management tool, not a law firm. Nothing in the Service constitutes legal advice.

11. Limitation of Liability

To the fullest extent permitted by law, Writly's total liability to you for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim.

In no event will Writly be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data, even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify and hold harmless Writly and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Data, or your violation of these Terms or applicable law.

13. Termination

You may cancel your account at any time from within the Service or by contacting us. We may suspend or terminate your account if you violate these Terms or if we discontinue the Service, with reasonable notice where practicable.

On termination, your right to use the Service ends. Sections of these Terms that by their nature should survive termination (including limitations of liability, indemnification, and dispute resolution) will survive.

14. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or the Service that cannot be resolved informally will be submitted to binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in English. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
